1. Introduction & Acceptance

These Terms of Service ("Terms") govern your access to and use of Parseo (the "Service"), operated by Parseo ("Company," "we," "us," or "our"), a company incorporated under the laws of Brazil.

By creating an account, clicking "Sign up with Google," or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

2. Definitions

  • "Service" — the Parseo web application, APIs, and related services available at parseo.io and its subdomains.
  • "User" / "you" — any individual or entity that accesses or uses the Service.
  • "Account" — a registered user profile created via Google OAuth authentication.
  • "Blueprint" — a reusable data extraction schema created by a User that defines the output structure for document extraction.
  • "User Content" — any files, documents, images, or other materials you upload to the Service for processing, as well as any Blueprints you create.
  • "Extraction" — the AI-powered process of parsing a document or image against a Blueprint to produce structured data output.
  • "Subscription" — a paid recurring plan (Plus or Pro) granting access to enhanced Service features.
  • "Blueprint Credits" — non-renewable credits that are consumed each time you create a new Blueprint.
  • "Public Blueprint" — a Blueprint marked as visible to all Service users by its creator.
  • "Private Blueprint" — a Blueprint visible only to its creator.

3. Account Registration

3.1 Eligibility

You must be at least 16 years old to create an Account or use the Service. By registering, you represent that you meet this age requirement. The Service is not directed at children under 16, and we do not knowingly collect personal information from minors under 16.

If you are a resident of a jurisdiction where the age of digital consent is higher than 16, you must meet that higher age requirement.

3.2 Google Authentication

Parseo uses Google OAuth exclusively for authentication. By signing in, you authorize us to receive your Google profile information (email address, display name, and profile photo URL) as described in our Privacy Policy. We do not store your Google password.

3.3 Account Security

You are responsible for all activity that occurs under your Account. You agree to notify us immediately at hello@parseo.io if you become aware of any unauthorized use of your Account. We are not liable for any loss or damage arising from unauthorized access to your Account.

3.4 Accurate Information

You agree to provide accurate, current, and complete information at registration and to keep your profile information up to date.

3.5 One Account Per User

Each Account must correspond to a single individual. You may not create multiple Accounts to circumvent free tier limits, Blueprint Credit restrictions, or any other usage limits.

4. Acceptable Use Policy

4.1 Permitted Use

You may use the Service solely for its intended purpose: extracting structured data from documents and images that you have the right to process.

4.2 Prohibited Conduct

You agree not to:

  • Use the Service to process documents to which you do not have the legal right;
  • Violate any applicable law or regulation, including data protection laws applicable to the documents you upload;
  • Upload documents containing personal data of third parties without a lawful basis for processing under applicable law;
  • Upload or transmit malware, viruses, or other harmful code;
  • Attempt to gain unauthorized access to any part of the Service, its infrastructure, or other users' data;
  • Scrape, crawl, or extract data from the Service except through officially supported export features or our published API;
  • Reverse-engineer, decompile, or extract AI model weights or training data through use of the Service;
  • Use the Service to develop a product or service that directly competes with Parseo without our prior written consent;
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • Use the Service for any purpose that is fraudulent, deceptive, or harmful;
  • Interfere with the integrity, performance, or availability of the Service;
  • Circumvent any rate limits or usage restrictions.

4.3 Blueprint Content

Blueprints you publish publicly must not:

  • Facilitate illegal data collection or processing;
  • Violate the intellectual property rights of third parties;
  • Be designed to extract content from documents without authorization.

4.4 Enforcement

We reserve the right to investigate and take appropriate action against violations of this section, including removing content, suspending or terminating Accounts, and reporting conduct to law enforcement where required.

5. User Content

5.1 Document Uploads

You retain all ownership rights to the documents and files you upload for processing ("Uploaded Files"). By uploading files, you grant us a limited, temporary license to store and process your files solely for the purpose of performing the Extraction you requested. We do not retain your Uploaded Files after an Extraction is complete. Files are deleted from our systems immediately upon completion of processing.

5.2 Blueprints

You retain ownership of the Blueprints you create. By creating a Blueprint, you grant us a worldwide, non-exclusive, royalty-free license to store, host, and make available your Blueprint as needed to provide the Service.

By publishing a Blueprint as public, you additionally grant other Service users a non-exclusive license to use that Blueprint for their own Extractions. You acknowledge that once a Blueprint is published publicly, it may be used by other users and cannot easily be retracted.

5.3 Representations

You represent and warrant that:
(a) You own or have the necessary rights to all User Content you submit;
(b) Your User Content does not infringe any third-party intellectual property rights;
(c) You have a lawful basis for processing any personal data contained in documents you upload;
(d) Your User Content does not violate any applicable law or these Terms.

5.4 AI Processing

Documents you upload are processed by AWS Bedrock Data Automation, a third-party AI service, solely for the purpose of performing the Extraction you requested. We do not use your Uploaded Files or their contents to train AI models. See our Privacy Policy for more detail on how document data is handled.

5.5 Content Removal

We may remove Blueprints or other User Content that we determine, in our sole discretion, violates these Terms or applicable law.

6. Intellectual Property

6.1 Our Property

The Service and its original content (excluding User Content), design, features, and functionality are and will remain the exclusive property of Parseo and its licensors. The Service is protected by copyright, trademark, and other applicable laws.

6.2 Restrictions

You may not copy, modify, distribute, sell, or sublicense any part of the Service. Our name, logo, and trademarks may not be used without our prior written consent.

6.3 Feedback

If you provide suggestions, bug reports, ideas, or other feedback about the Service ("Feedback"), you grant us an irrevocable, perpetual, royalty-free, worldwide license to use and incorporate such Feedback for any purpose, without any compensation or obligation to you.

7. Payment & Billing

7.1 Subscription Plans

The Service is offered on three tiers:

  • Free Plan — no charge; limited to 5 pages per month and 1 Blueprint Credit.
  • Plus Plan — charged at $25/month (monthly billing) or $20/month equivalent ($240/year, billed annually). Includes 400 pages/month and 5 Blueprint Credits on first upgrade.
  • Pro Plan — charged at $100/month (monthly billing) or $90/month equivalent ($1,080/year, billed annually). Includes 2,000 pages/month and 10 Blueprint Credits on first upgrade.

7.2 Blueprint Credits (One-Time Purchase)

You may purchase additional Blueprint Credits as one-time purchases. Credits are charged in USD at the time of purchase and do not renew monthly. Credit packs and their current prices are listed in the Service. By purchasing credits, you agree to pay the applicable fees at checkout.

7.3 Billing and Automatic Renewal

Subscription fees are billed in advance at the start of each billing period (monthly or annual). Your subscription renews automatically at the end of each period unless you cancel before the renewal date. By providing a payment method, you authorize us to charge that method for all recurring and one-time fees.

Payments are processed by Stripe. We do not store your full credit card details. See our Privacy Policy for more on payment data handling.

7.4 Price Changes

We may change subscription prices at any time. For existing subscribers, price changes take effect at the next renewal after at least 30 days' notice sent to your registered email address.

7.5 Failed Payments

If a recurring payment fails, we may retry the charge and may downgrade your account to the Free plan or suspend access to paid features until payment is resolved. You remain responsible for all outstanding amounts.

7.6 Taxes

All stated prices are exclusive of applicable taxes, levies, or duties. You are responsible for paying all taxes imposed by your local taxing authority. Prices are displayed in USD; your bank or card issuer may apply currency conversion fees.

7.7 Refunds

All fees are non-refundable except:
(a) As required by applicable law; or
(b) At our sole discretion on a case-by-case basis. To request a refund, contact hello@parseo.io.

Blueprint Credits are non-refundable once purchased.

8. Free Plan & Trial Features

The Free Plan is available without a time limit. We may modify the features and limits of the Free Plan at any time with reasonable notice.

We may from time to time offer promotional trials or temporary access to paid features. Promotional trial terms will be stated at the time of the offer.

9. Cancellation & Termination

9.1 Cancellation by You

You may cancel your Subscription at any time from your account billing settings. Cancellation takes effect at the end of your current billing period; you will retain access to paid features until that date. After cancellation, your account reverts to the Free plan.

Blueprint Credits are retained even after cancellation or downgrade. They do not expire.

9.2 Immediate Cancellation

You may also choose to cancel your Subscription with immediate effect from your Account dashboard. In this case, your plan reverts to Free immediately and no partial-period refund is issued.

9.3 Termination by Us

We may suspend or terminate your Account at any time, with or without cause, with or without notice. We will generally provide reasonable advance notice for terminations not involving violations of these Terms. In cases of material violation (e.g., abuse, fraudulent activity), we may terminate immediately without notice.

9.4 Effect of Termination

Upon termination:
(a) Your right to access the Service immediately ceases;
(b) We may delete your Account data after a reasonable grace period, during which you may export any available data outputs. Note: Uploaded Files are already deleted upon Extraction completion and are not retained;
(c) Obligations incurred prior to termination survive, including outstanding payment obligations;
(d) The following sections survive termination: Section 5 (User Content, your representations), Section 6 (Intellectual Property), Section 11 (Disclaimers), Section 12 (Limitation of Liability), Section 13 (Indemnification), and Section 14 (Dispute Resolution).

10. Data & Privacy

Your use of the Service is subject to our Privacy Policy, available at [parseo.io/privacy], which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, and protect your personal information.

By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

11. Third-Party Services

The Service integrates with third-party services including Google (authentication), Stripe (payments), AWS (infrastructure and AI processing), and Firebase (database and hosting). Your use of those services may be governed by their own terms and privacy policies. We are not responsible for the practices of any third-party services.

Links to third-party websites or services that appear in the Service are for convenience only. We do not endorse and are not responsible for any third-party content.

12. Disclaimers of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; (B) EXTRACTION RESULTS WILL BE ACCURATE, COMPLETE, OR FIT FOR ANY PARTICULAR PURPOSE; (C) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS; OR (D) ANY DEFECTS WILL BE CORRECTED.

AI-GENERATED EXTRACTION RESULTS SHOULD BE REVIEWED FOR ACCURACY BEFORE USE IN ANY BUSINESS-CRITICAL PROCESS. WE ARE NOT LIABLE FOR ERRORS IN AI OUTPUT.

EU/UK Consumer Note: Nothing in these Terms limits any statutory rights you may have as a consumer under applicable local law.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL Parseo, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT WILL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRIOR TO THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).

EU/UK Consumer Note: Nothing in these Terms limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited under applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Parseo, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
(a) Your use of the Service;
(b) Your User Content, including any personal data of third parties contained in documents you upload;
(c) Your violation of these Terms;
(d) Your violation of any third-party rights; or
(e) Your violation of any applicable law or regulation.

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Brazil, without regard to conflict of law principles.

For users in the European Union or United Kingdom: Nothing in this section limits your rights under applicable mandatory local consumer protection law.

15.2 Informal Resolution First

Before initiating any formal legal proceeding, you agree to contact us at hello@parseo.io to attempt to resolve the dispute informally. We will make good-faith efforts to resolve the matter within 30 days of receiving your written notice.

15.3 Arbitration (If Applicable — US Users)

[OPTIONAL — INCLUDE OR REMOVE BASED ON ATTORNEY ADVICE] Any dispute not resolved informally shall be resolved by binding individual arbitration administered by [JAMS / American Arbitration Association] under its applicable rules. Arbitration shall take place in [City, State]. Each party bears its own costs unless applicable law provides otherwise.

CLASS ACTION WAIVER: TO THE EXTENT PERMITTED BY LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST US.

15.4 EU Online Dispute Resolution

If you are an EU consumer, you may also use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr/.

15.5 Jurisdiction

For disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the courts located in Brazil. EU and UK consumers retain the right to bring claims in their local courts.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email to your registered address or by posting a prominent notice within the Service at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.

We maintain previous versions of these Terms and will provide them upon request.

17. General Provisions

  • Entire Agreement. These Terms, together with the Privacy Policy and any other policies expressly incorporated herein, constitute the entire agreement between you and the Company regarding the Service and supersede all prior or contemporaneous agreements and understandings.

  • Severability. If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

  • No Waiver. Our failure to enforce any provision of these Terms at any time shall not be deemed a waiver of our right to enforce it in the future.

  • Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, reorganization, or sale of substantially all of our assets, with reasonable notice to you.

  • Force Majeure. We are not liable for delays or failures in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, or failures of third-party infrastructure (including AWS, Google Cloud, or Stripe).

  • No Third-Party Beneficiaries. These Terms do not confer any rights or remedies upon any third party.

  • Notices. All legal notices to us must be sent in writing to hello@parseo.io.
